1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of SignCore (the "Service"), operated by RBB SRL ("Company," "we," "us," or "our"), a company registered in the Repubblica di San Marino.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Service Description

SignCore is a contract lifecycle management platform that provides:

Contract document storage and organization
AI-assisted analysis and extraction of contract terms
Lifecycle tracking and deadline management
Calendar and reminder functionality

3. Account Registration

To use the Service, you must:

Provide accurate and complete registration information
Maintain the security of your account credentials
Promptly notify us of any unauthorized access
Be at least 18 years of age

You are responsible for all activities that occur under your account.

4. Acceptable Use

You agree not to:

Violate any applicable laws or regulations
Upload content that infringes third-party rights
Attempt to gain unauthorized access to the Service
Interfere with or disrupt the Service’s operation
Use the Service for any unlawful purpose

5. Your Content

You retain ownership of all content you upload to the Service ("Your Content"). By uploading content, you grant us a limited license to:

Store and process Your Content to provide the Service
Create backups for disaster recovery purposes
Display Your Content to you and authorized users

We do not claim ownership of Your Content, and we do not use Your Content to train AI models.

6. AI-Assisted Features

The Service includes AI-assisted analysis features. You acknowledge that:

AI outputs are suggestions that require your review and confirmation
We do not guarantee the accuracy of AI-generated suggestions
You are responsible for verifying all extracted information
AI features should not replace professional legal advice

7. Fees and Payment

Certain features of the Service require a paid subscription. By selecting a paid plan, you agree to the following terms.

7.1 Payment Processor — FastSpring as Merchant of Record

All payments are processed by Bright Market, LLC d/b/a FastSpring ("FastSpring"), 801 Garden Street, Suite 201, Santa Barbara, CA 93101, USA. FastSpring acts as the Merchant of Record for all transactions, meaning FastSpring is the legal seller and is responsible for collecting payment, issuing invoices, handling applicable taxes, and processing refund and chargeback requests.

When completing a purchase you will be subject to FastSpring's own terms and conditions and privacy policy, in addition to these Terms:

Your payment card details are entered directly into FastSpring's secure payment page and are not transmitted to or stored by RBB SRL.

7.2 Billing and Subscription

Subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select
Your subscription renews automatically at the end of each billing period unless you cancel before the renewal date
You are responsible for keeping your payment details up to date with FastSpring
We may change subscription fees with at least 30 days' prior notice; continued use after the notice period constitutes acceptance of the new pricing

7.3 Taxes

As Merchant of Record, FastSpring is responsible for determining, collecting, and remitting applicable taxes (including VAT, GST, and sales tax) in accordance with the laws of your jurisdiction. The price displayed at checkout includes any applicable taxes where required by law.

7.4 Refunds

Refunds are governed by our Refund Policy. Eligible refund requests are processed by FastSpring on our behalf. We do not issue refunds outside the scope of our Refund Policy except where required by applicable law.

8. Termination

Either party may terminate this agreement at any time. Upon termination:

Your access to the Service will cease
You may request export of Your Content for a reasonable period
We may delete Your Content after a retention period

We may suspend or terminate your access for violation of these Terms.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SignCore is not a law firm and does not provide legal advice. The Service is a tool for contract management, not a substitute for professional legal counsel.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RBB SRL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless RBB SRL from any claims, damages, or expenses arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or notice within the Service. Continued use after changes constitutes acceptance of the modified Terms.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Repubblica di San Marino, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Repubblica di San Marino.

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RBB SRL regarding the Service.
